By accessing or using the WP Maintain website at https://wpmaintain.com (the “Website”), or any services, plugins, tools, or applications provided by WP Maintain (collectively, the “Services”), you represent that you have read, understood, and agree to be bound by these Terms of Service (this “Agreement”). If you are using the Services on behalf of a company, organization, or other legal entity, you represent that you have the authority to bind that entity to this Agreement.

WP Maintain provides WordPress website maintenance, management, optimization, security, backup, migration, and related services. Our Services enable users to manage, monitor, and maintain their WordPress websites through our platform. The specific features and functionality available to you may vary depending on your subscription plan.

2. Eligibility

To use our Services, you must be at least eighteen (18) years of age, complete the registration process, agree to these Terms of Service, and provide true, complete, and current information. By using our Services, you represent and warrant that you meet these requirements and that you will not use the Services in violation of any applicable laws or regulations. WP Maintain reserves the right to refuse service, close accounts, or change eligibility requirements at any time.

3. Definitions

“Device” means any computer, laptop, tablet, mobile device, or other hardware used to access the Services via a web browser or application.

“Content” means any data, text, images, files, code, or other materials stored on your website(s) that are backed up, migrated, or otherwise processed through our Services.

The WP Maintain name, logo, website, original content, features, and functionality are the property of WP Maintain and are protected by copyright, trademark, patent, and other intellectual property laws. You may not copy, distribute, modify, or create derivative works of our Services without our prior written consent.

Your use of the Services does not grant you any ownership or license to our intellectual property beyond the limited right to use the Services in accordance with this Agreement.

10. Communications

By creating an account, you agree that we may send you email communications related to the operation of the Services, including account notifications, service updates, and promotional messages. You may opt out of promotional communications at any time by contacting us at privacy@wpmaintain.com. Please note that opting out of certain communications may affect your use of the Services.

11. Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. WP MAINTAIN DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE FROM VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICES AT YOUR OWN RISK.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WP MAINTAIN’S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE AMOUNT YOU PAID TO WP MAINTAIN DURING THE SIX (6) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT SHALL WP MAINTAIN BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, PROFITS, OR BUSINESS OPPORTUNITIES, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to defend, indemnify, and hold harmless WP Maintain, its affiliates, officers, directors, employees, agents, and partners from and against any claims, disputes, demands, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to your violation of this Agreement, your misuse of the Services, your violation of any third-party rights, or your violation of any applicable laws or regulations. This indemnification obligation survives termination of this Agreement.

14. Account Suspension and Termination

We may suspend or terminate your access to the Services at any time, with or without prior notice, for any reason, including but not limited to a breach of this Agreement or suspected fraudulent activity. Upon termination, your right to access the Services and any associated data will cease immediately and may result in the deletion of your account information.

Certain provisions of this Agreement, including but not limited to ownership, warranty disclaimers, limitation of liability, and indemnification, shall survive termination.

15. Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.

16. Dispute Resolution

Any disputes arising from or related to this Agreement or the Services shall be resolved through binding arbitration conducted by a neutral arbitrator. The arbitrator shall have the authority to award the same damages and relief as a court of law. Arbitration shall be conducted on an individual basis only. Class actions, class arbitrations, and representative actions are not permitted.

You may opt out of this arbitration provision by sending written notice to privacy@wpmaintain.com within thirty (30) days of first becoming subject to this Agreement. Your notice must include your name, address, email address, and a clear statement that you wish to opt out.

17. Changes to These Terms

WP Maintain reserves the right to modify this Agreement at any time. Updated versions will be posted on our Website. Your continued use of the Services after changes are posted constitutes your acceptance of the revised terms. We encourage you to review this Agreement periodically.

18. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, without regard to conflict of law principles.

19. Entire Agreement

This Agreement, together with our Privacy Policy, Cookie Policy, and any other policies referenced herein, constitutes the entire agreement between you and WP Maintain regarding the use of the Services and supersedes all prior agreements, understandings, or representations.

20. Updates to Services

WP Maintain may provide updates, patches, bug fixes, or other modifications to the Services from time to time. You agree that we have no obligation to provide specific updates or to maintain particular features. All updates are considered part of the Services and are subject to this Agreement.
